These Terms of Use (the “Terms”) apply to

• any of the subdomains of it (the “Website”) and/or services offered by using the Website.

The Website is an official website of EightVisions OÜ, 16982301, Harju maakond, Tallinn, Kesklinna linnaosa, Tornimäe tn 5, 10145 (hereinafter referred as the “Company”) .

By accessing or using the Website and any services made available through the Website and affiliated websites, if any, (collectively, the "Services"), you ("User" and collectively with others using the Website "Users") agree without any modifications to be bound by these Terms.

The Services are provided by the Company, and the terms "we," "us," and "our" refer to this legal entity. The Company may change the scope of the Services or stop providing Services in entirety at any time.

Certain Services may be performed by different parties, including subsidiaries, affiliates or subcontractors of the Company, and in such event Company will notify you of the name of such service provider.

These Terms affect your legal rights and obligations, including your right to file a lawsuit in court. If you do not agree to be bound by these Terms, do not access or use the Services.

The information made available on our Website may be altered or removed at any time without prior notice. Company reserves the right to change or modify the terms and conditions contained in these Terms, including but not limited to any policy or guideline of the Website, at any time and from time to time at its sole discretion without your prior consent. Subject to applicable law, the method of notification will be left to Company's sole discretion. Using a particular form of notice in some instances does not obligate us to use the same form in other instances, unless Company is duty bound to do so under any applicable law. Any changes or modifications will be effective immediately upon posting the revisions on the Website or at the instant that Company transmits the information to the Users (e.g. via email). 1.1. IMLAZY.AI is a software as a service platform that provides content generation services using OpenAI’s API and other various AI models.

1.2. By using the Website or Services, you acknowledge that you have read, understood, and agreed to be bound by these terms and conditions.

1.3. IMLAZY.AI reserves the right to modify or update these terms and conditions at any time without prior notice. It is your responsibility to review these terms periodically.

1.4. If you do not agree to these terms, you should refrain from using the Website and Services.

2. Use of IMLAZY.AI Platforms and Services

2.1. “IMLAZY.AI” refers to the product provided and operated through its website, available at https://imlazy.ai/, (“IMLAZY.AI Platforms”).

2.2. “Website” refers to the official website of IMLAZY.AI at https://imlazy.ai/.

2.3. IMLAZY.AI grants you a non-exclusive, non-transferable, revocable license to access and use the IMLAZY.AI Platforms strictly in accordance with these terms and conditions.

2.4. You must be at least 18 years old or the legal age of majority in your jurisdiction to use the IMLAZY.AI Platform.

2.5. You are responsible for maintaining the security and confidentiality of your account information and are fully responsible for all activities that occur under your account.

2.6. You agree not to use the IMLAZY.AI Platforms for any illegal, unauthorized, or unethical purposes. You will comply with all applicable laws, rules, and regulations.

3. Content Generation

3.1. IMLAZY.AI utilizes OpenAI’s ChatGPT API, Google, Azure, Stability AI, and other various AI models to generate content for various purposes, including copywriting, social media ads, blogging, social media posts, resumes, and job-related content.

3.2. While IMLAZY.AI strives to provide accurate and high-quality content, it does not guarantee the accuracy, reliability, or suitability of the generated content for any specific purpose.

3.3. You are solely responsible for reviewing and verifying the generated content to ensure its accuracy and compliance with applicable laws and regulations.

3.4. IMLAZY.AI is not liable for any consequences arising from the use or reliance on the generated content. You acknowledge that the content is provided on an “as-is” basis.

4. Intellectual Property

4.1. All intellectual property rights related to the IMLAZY.AI Platforms, including but not limited to trademarks, logos, copyrights, and trade secrets, are the property of the individual entrepreneur operating under the brand name IMLAZY.AI or its licensors.

4.2. You may not copy, modify, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the IMLAZY.AI Platforms without prior written consent.

5. Limitation of Liability

5.1. To the fullest extent permitted by law, IMLAZY.AI, its affiliates, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with the use of the IMLAZY.AI Platforms.

5.2. IMLAZY.AI does not guarantee uninterrupted or error-free operation of the IMLAZY.AI Platforms and shall not be liable for any interruptions, errors, or omissions in the IMLAZY.AI Platforms’ functioning.

5.3. IMLAZY.AI shall not be liable for any loss or damage resulting from any unauthorized access to or use of your account or any data stored therein.

6. Termination

6.1. IMLAZY.AI reserves the right to suspend, terminate, or restrict your access to the IMLAZY.AI Platforms at any time without prior notice or liability.

6.2. Upon termination, you shall cease all use of the IMLAZY.AI Platforms, and any provisions of

these terms and conditions that are intended to survive termination shall continue to apply.

7. Governing Law

7.1. These terms and conditions shall be governed by and construed in accordance with the laws of Estonia, without regard to its conflict of laws principles.

7.2. Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of Estonia.

8. Communications

8.1. By creating an account on our IMLAZY.AI platform, you agree to receive newsletters, marketing or promotional materials, and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link provided in our emails or by contacting us at support@imlazy.ai.

9. Purchases

9.1. If you wish to purchase any product or service made available through the IMLAZY.AI platform (“Purchase”), you may be required to provide certain information relevant to your Purchase, including, but not limited to, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.

9.2. You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and (ii) the information you provide to us is true, correct, and complete.

9.3. We may employ the use of third-party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

9.4. We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order, or other reasons.

9.5. We also reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

10. Subscriptions

10.1. Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

10.2. At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or IMLAZY.AI cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting the IMLAZY.AI customer support team.

10.3. A valid payment method, including credit card or PayPal, is required to process the payment for your Subscription. You shall provide IMLAZY.AI with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize IMLAZY.AI to charge all Subscription fees incurred through your account to any such payment instruments.

10.4. Should automatic billing fail to occur for any reason, IMLAZY.AI will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

10.5. Billing Cycle: Monthly subscriptions are billed automatically on a recurring basis, exactly one month from the date of your initial purchase. You will be charged on the same day of each subsequent month unless you choose to cancel your subscription.

10.6. Cancellation: You can cancel your monthly subscription at any time before your next billing cycle. Please note that cancelling a monthly subscription will result in the loss of all currently held tokens associated with that subscription. Cancellations will take effect from the next billing cycle, and you will not be charged for any subsequent months.

10.7. Refund Eligibility: Monthly subscription fees are eligible for a refund within 5 days of the purchase date or if less than 20% of the allocated tokens associated with that subscription have been used. Refunds will not be issued for subscription fees outside this criteria.

11. Free Trial

11.1. IMLAZY.AI may, at its sole discretion, offer a Subscription with a free trial for a limited period of time ("Free Trial").

11.2. You may be required to enter your billing information in order to sign up for the Free Trial.

11.3. If you do enter your billing information when signing up for the Free Trial, you will not be charged by IMLAZY.AI until the Free Trial has expired. On the last day of the Free Trial period, unless you cancelled your Subscription, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected.

11.4. At any time and without notice, IMLAZY.AI reserves the right to (i) modify the terms and conditions of the Free Trial offer, or (ii) cancel such Free Trial offer.

12. Fee Changes

12.1. IMLAZY.AI, in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

12.2. IMLAZY.AI will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

12.3. Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

13. Refunds

Certain refund requests for Subscriptions may be considered by IMLAZY.AI on a case-by-case basis and granted in sole discretion of IMLAZY.AI.

14. Fair Usage Policy

IMLAZY.AI is committed to providing a high-quality, reliable service to all users. Excessive use or misuse of the service can affect the service quality for others. We encourage users to select plans that match their usage needs and consider upgrading if their usage consistently exceeds our fair use parameters.

15. User Conduct

15.1. You agree to use the IMLAZY.AI service only for lawful purposes and in a way that does not infringe the rights of, restrict or inhibit anyone else's use and enjoyment of IMLAZY.AI. Prohibited behavior includes harassing or causing distress or inconvenience to any other user, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within IMLAZY.AI.

15.2. You must not use IMLAZY.AI for any illegal or unauthorized purpose. International users agree to comply with all local laws regarding online conduct and acceptable content.

16. Content Ownership and Copyright

16.1. IMLAZY.AI does not claim ownership of the content you create, upload, or store in the service. You retain all rights to your content and are responsible for protecting those rights.

16.2. By using IMLAZY.AI, you grant IMLAZY.AI a worldwide, non-exclusive, royalty-free license to reproduce, adapt, distribute, and publish such content through IMLAZY.AI, solely for the purpose of displaying, distributing, and promoting your content through IMLAZY.AI.

17. Data Protection

17.1. IMLAZY.AI takes the privacy of its users very seriously. All information collected through the IMLAZY.AI service is treated as confidential. All personal information is collected, held, and used in accordance with the Privacy Policy, which is available on the IMLAZY.AI website.

18. Service Availability

18.1. IMLAZY.AI strives to ensure the service is available 24 hours a day, seven days a week. However, there will be occasions when the service will be interrupted for maintenance, upgrades, and emergency repairs or due to failure of telecommunications links and equipment that are beyond the control of IMLAZY.AI. Every step will be taken to minimize such disruption where it is within the reasonable control of IMLAZY.AI.

19. Changes to Terms and Conditions

19.1. IMLAZY.AI reserves the right to change these terms and conditions at any time, and your continued use of the IMLAZY.AI Platforms following any changes shall be deemed to be your acceptance of such change. It is your responsibility to check the Terms and Conditions regularly for changes.

20. Indemnification

20.1. You agree to indemnify, defend, and hold harmless IMLAZY.AI, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these terms and conditions or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the service using your account.

21. Severability

21.1. If any part of these Terms and Conditions is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the Terms and Conditions shall continue in effect.
